1. Introduction and Acceptance of Terms

Welcome to DocuAxis. These Terms of Service ("Terms") constitute a legally binding agreement between you (whether an individual or entity) and DocuAxis, Inc. ("DocuAxis," "we," "us," or "our") governing your access to and use of the DocuAxis platform, website, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

2. Description of Services

DocuAxis provides AI-powered document processing services designed to help businesses extract, analyze, and manage information from various document types. Our Services include but are not limited to:

• Document data extraction and processing
• Handwritten text recognition
• Multi-language document support
• Document classification and organization
• Integration with third-party business applications
• Secure document storage and management

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

3. Account Registration and Security

3.1 Account Creation

To access certain features of our Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to:

• Create a strong, unique password
• Keep your account information and password confidential
• Notify us immediately of any unauthorized use of your account or any other breach of security
• Ensure that you log out from your account at the end of each session when using shared devices

DocuAxis will not be liable for any loss or damage arising from your failure to comply with these requirements.

3.3 Account Termination

We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

4. Subscription and Payment Terms

4.1 Subscription Plans

DocuAxis offers various subscription plans with different features, limitations, and pricing. Details of current subscription plans are available on our website.

4.2 Free Trial

We may offer a free trial period for new users. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends.

4.3 Payment and Billing

By providing a payment method, you authorize us to charge you for all fees associated with your subscription plan. Unless otherwise stated:

• All payments are non-refundable
• Subscription fees are charged at the beginning of each billing cycle
• Subscriptions automatically renew unless canceled prior to the renewal date
• You are responsible for all applicable taxes

4.4 Changes to Pricing

We reserve the right to change our prices at any time. If we change pricing for your subscription plan, we will notify you at least 30 days before the change takes effect.

4.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation, you will continue to have access to the Services until the end of your current billing period, but you will not receive a refund for any fees already paid.

5. User Obligations and Conduct

5.1 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable law or regulation
• Use the Services to process, store, or transmit any data that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, or otherwise objectionable
• Attempt to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services
• Use any robot, spider, or other automated device or process to access the Services for any purpose
• Introduce any viruses, trojan horses, worms, logic bombs, or other harmful material
• Interfere with or disrupt the integrity or performance of the Services or data contained therein
• Impersonate or attempt to impersonate DocuAxis, a DocuAxis employee, another user, or any other person or entity

5.2 Content Restrictions

You are solely responsible for all documents, data, and information that you upload, post, or otherwise transmit via the Services ("User Content"). You represent and warrant that:

• You own or have the necessary licenses, rights, consents, and permissions to use and authorize DocuAxis to use your User Content
• Your User Content does not and will not violate any third party's intellectual property rights, privacy rights, publicity rights, or other personal or proprietary rights
• Your User Content does not contain any viruses, adware, spyware, worms, or other malicious code

5.3 Compliance with Laws

You agree to comply with all applicable laws, regulations, and third-party agreements in your use of the Services, including but not limited to data protection and privacy laws.

6. Intellectual Property Rights

6.1 DocuAxis Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by DocuAxis, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 License to Use Services

Subject to these Terms, DocuAxis grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

6.3 Feedback

If you provide DocuAxis with any feedback, suggestions, ideas, or recommendations regarding the Services ("Feedback"), you grant DocuAxis an unlimited, irrevocable, perpetual, sublicensable, transferable, royalty-free license to use such Feedback in any way and for any purpose without compensation or obligation to you.

6.4 User Content License

You retain all rights in your User Content. By uploading User Content to the Services, you grant DocuAxis a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such User Content solely for the purpose of providing and improving the Services.

7. Data Privacy and Security

7.1 Privacy Policy

Our Privacy Policy, available at privacy-policy.html, describes how we collect, use, and share information about you when you use our Services. By using the Services, you consent to our collection and use of information as described in the Privacy Policy.

7.2 Data Security

We implement reasonable technical, administrative, and physical safeguards designed to protect your data. However, no data transmission or storage system is 100% secure. We cannot guarantee the security of information transmitted to or from the Services.

7.3 Data Processing

When you use our Services to process documents containing personal data, you are the data controller and DocuAxis is the data processor. You are responsible for ensuring that you have the right to collect, use, and share such data with DocuAxis.

8. Third-Party Services and Content

8.1 Third-Party Integrations

The Services may allow you to integrate with third-party services and applications. These integrations are subject to the terms and conditions and privacy policies of those third parties, and DocuAxis is not responsible for the practices of such third parties.

8.2 Third-Party Links

The Services may contain links to third-party websites or resources. DocuAxis provides these links only as a convenience and is not responsible for the content, products, or services on or available from those websites or resources.

9. Disclaimers and Limitations of Liability

9.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DOCUAXIS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DOCUAXIS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

DOCUAXIS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO DOCUAXIS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

9.3 Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless DocuAxis, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.

11. Term and Termination

11.1 Term

These Terms will remain in full force and effect while you use the Services.

11.2 Termination by You

You may terminate these Terms at any time by canceling your account and ceasing all use of the Services.

11.3 Termination by DocuAxis

DocuAxis may terminate or suspend your access to all or part of the Services, without notice, for any conduct that DocuAxis, in its sole discretion, believes is in violation of these Terms or is harmful to other users, DocuAxis, or third parties, or for any other reason.

11.4 Effect of Termination

Upon termination of these Terms:

• Your right to access and use the Services will immediately cease
• DocuAxis may delete your account and all related information and files
• DocuAxis will not be liable to you or any third party for termination of access to the Services

Any provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Modifications to Terms and Services

12.1 Changes to Terms

DocuAxis reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

12.2 Changes to Services

DocuAxis reserves the right at any time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. DocuAxis shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

13. Dispute Resolution

13.1 Governing Law

These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice or conflict of law provision or rule.

13.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

13.3 Class Action Waiver

ANY ARBITRATION OR OTHER PROCEEDING SHALL PROCEED SOLELY ON AN INDIVIDUAL BASIS. YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST DOCUAXIS ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13.4 Time Limitation

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by DocuAxis on the Services, shall constitute the entire agreement between you and DocuAxis concerning the Services.

14.2 Waiver and Severability

The failure of DocuAxis to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

14.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without DocuAxis's prior written consent. DocuAxis may assign these Terms in full or in part at any time without your consent.

14.4 Notices

DocuAxis may provide notices to you via email, regular mail, or postings on the Services. Notices to DocuAxis should be sent to support@docuaxis.com.

14.5 Force Majeure

DocuAxis shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond DocuAxis's reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.

14.6 Export Control

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce.

14.7 U.S. Government End Users

The Services and related documentation are "Commercial Items," as that term is defined at 48 C.F.R. §2.101, and are being licensed to U.S. Government end users only as Commercial Items and with only those rights as are granted to all other end users pursuant to the terms and conditions of these Terms.
